The Firm Foundation Terms and Conditions

This Sales Agreement ("Agreement") is entered into by and between OttoCorrect LLC, with its principal place of business in the State of Utah ("Provider"), and the purchaser identified at checkout ("Buyer"). 

1. Product and Access 

Buyer is purchasing access to the "Firm Foundation" educational course, designed for aspiring accounting firm owners. 

Access is granted for one (1) year from the start date as defined below. 

For the initial "testing" cohort (first 50 buyers), the one-year access period will commence after Provider delivers the following modules: Tax Workflows, Reporting and Metrics, and Year-End Module. Provider will notify Buyer via email when these modules are delivered. 

2. Payment and Pricing 

Buyer agrees to pay the full advertised price at the time of purchase. 

After the initial year, Buyer may renew access annually at the then-current discounted renewal rate. Provider does not guarantee future pricing and reserves the right to adjust renewal rates. 

3. Money-Back Guarantee 

Buyer is eligible for a full refund within thirty (30) days of purchase, provided that Buyer has completed the entire Firm Foundation program as tracked by Provider’s learning management system (GoHighLevel). 

Refund requests must be submitted in writing within 30 days of purchase. Refunds will not be granted if Buyer has not completed the program or simply chooses not to participate. 

4. Intellectual Property & Use Restrictions 

All materials, templates, and documents provided within the course are the exclusive property of Provider. 

 

Buyer agrees not to: 

Post, share, or distribute any course materials, templates, or documents publicly or privately outside of their own firm. 

Use course materials to develop or sell courses, products, or services. 

Share login credentials or provide course access to any third party, firm, or entity. 

Course access is limited to one (1) firm per purchase. 

5. Governing Law 

This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles. 

6. Severability 

If any provision of this Agreement is found unenforceable under applicable law, such provision shall be severed, and the remainder of the Agreement shall remain in full force and effect. 

7. Force Majeure 

Provider shall not be liable for failure or delay in performance due to causes beyond its reasonable control, including, but not limited to, acts of God, war, natural disasters, labor disputes, or governmental actions. 

8. Dispute Resolution & Legal Costs 

In the event of a dispute, both parties agree to attempt to resolve the matter through good faith mediation before resorting to litigation. 

If litigation arises due to Buyer’s violation of intellectual property, unauthorized sharing, or use restrictions, Buyer agrees to indemnify Provider and cover all associated legal fees and costs incurred in enforcing this Agreement. 

Any legal proceedings shall be conducted in the State of Utah. 

9. Miscellaneous 

Provider may update course content and modules at its discretion. 

Provider may, but is not required to, offer referral programs or community features (e.g., private Facebook group). Participation in such features is subject to additional terms as provided. 

Buyer agrees to respect the privacy and confidentiality of other course participants. 

10. Entire Agreement 

This Agreement constitutes the entire understanding between Provider and Buyer and supersedes all prior agreements, representations, or understandings, whether written or oral. 

By purchasing and accessing the Firm Foundation course, Buyer acknowledges and agrees to all terms set forth in this Agreement.
